Right, I think Article V, point 12 in bylaws confirms your point (Here is
the bylaws point: Outside of Council meetings, a written proposition that
has received the asserting signatures of all Directors entitled to vote
shall be considered a Council resolution).

Thank you for your help.

Please let me know if you find out otherwise from the bylaws.
